End-User License Agreement

This End-User License Agreement (“Agreement”) governs access to and use of the Verum AV internal business platform and related services (the “Software”), operated by Verum AV Solutions (“Verum AV,” “we,” “us”). By accessing or using the Software, you agree to this Agreement.

1. License grant

Subject to this Agreement, Verum AV grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for Verum AV’s internal business operations and authorized client/event work.

2. Accounts and access

  • Access is limited to users authorized by Verum AV.
  • You are responsible for keeping login credentials confidential and for activity under your account.
  • We may suspend or revoke access at any time.

3. Acceptable use

You agree not to:

  • Use the Software for any unlawful purpose
  • Attempt to gain unauthorized access to systems, data, or accounts
  • Copy, modify, reverse engineer, or resell the Software except as permitted by law
  • Interfere with the security or performance of the Software
  • Share confidential client, financial, or operational data outside authorized business use

4. Third-party services (including QuickBooks Online)

The Software may integrate with third-party services, including Intuit QuickBooks Online. If connected:

  • The integration is intended for read-only visibility into invoice and payment status
  • Verum AV does not warrant third-party services and is not responsible for their availability, accuracy, or terms
  • Your use of QuickBooks remains subject to Intuit’s terms and policies

5. Data and content

You retain ownership of content and data you submit to the Software. You grant Verum AV the rights needed to host, process, and display that content to operate the Software. Our handling of personal information is described in our Privacy Policy.

6. Intellectual property

The Software, including its design, code, and branding, is owned by Verum AV or its licensors. Except for the limited license above, no rights are granted.

7. Disclaimer of warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERUM AV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE OR ANY QUICKBOOKS DATA WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY ACCURATE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERUM AV WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

This Agreement is effective until terminated. We may terminate or suspend access immediately for any reason, including violation of this Agreement. Upon termination, your right to use the Software ends.

10. Changes

We may update this Agreement by posting a revised version. Continued use after changes become effective constitutes acceptance of the updated Agreement.

11. Governing law

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law rules.
